J. Schorr - Of Counsel
Mr. Schorr focuses his practice on (i) cross-border transactions, including mergers and acquisitions and joint ventures; (ii) hedge funds, venture capital and private equity; (iii) insurance, derivatives and structured products; (iv) finance, convertible debt instruments, and capital markets; (v) structuring trusts and estate matters for private corporate and individual clients including advising on art advisory and charitable planning; (vi) executive compensation; (vii) merger and acquisition transactions; and (viii) on matters relating to blockchain, including issues relating to structuring blockchain-related businesses, fundraising, business and fund formation. Mr. Schorr also has been active in leveraging the Qualified Small Business stock exclusion to substantially enhance returns of both investors and entrepreneurs. He applies his skills relating to financial products, investment funds and cross-border transactions to advise clients engaging in crypto- and digital currency transactions. He has regularly advised on matters relating to blockchain, including issues relating to structuring blockchain-related businesses, fundraising, business and fund formation, creation of offshore operations and taxation of air drops.
In addition, Mr. Schorr advises companies and employees on equity compensation-related matters, including deferred compensation issues (Section 409A and Section 280G of the I.R.C.), and provides advice and analysis relating to planning and structuring M&A exits.
Mr. Schorr is also a trusted advisor to art collectors on museum show loans, secondary market transactions, consignments to auction houses and private dealers, insurance, and advises families and private foundations relating to trust and estates and charitable planning and operations. As part of this practice, Mr. Schorr has served as tax and strategic advisor to domestic and international collectibles (art, classic cars, wine, and musical instruments) investment funds and is a member of the Art Law Committee at the NYC Bar Association, where he co-heads the subcommittee on trust and estates, museums, non for profits and tax.
Earlier in his career, Mr. Schorr served as the Director of Tax of a global event-driven hedge fund. Additionally, he has worked at major financial institutions where he structured financial products for key multinational clients, in the health care, high tech, and financial services industries. As a director at an investment bank, he cofounded a group focused on tax, accounting and regulatory optimization for domestic and cross-border investment and financing products and M&A strategies. Mr. Schorr began his legal career as a tax lawyer at two major international law firms.
